Terms of Service

Last updated: 9 September 2026 Effective from: 9 September 2026 for new agreements; existing agreements follow clause 28

These Terms of Service ("Terms") form a binding agreement between you and show.fm Ltd, a company registered in England and Wales with company number 17438149, whose registered office is at 128 City Road, London, United Kingdom, EC1V 2NX ("show.fm", "we", "us", "our").

They govern your use of the show.fm website at show.fm, the show.fm application at my.show.fm, the public guest booking pages at book.show.fm, the RSS feed service at rss.cdn.media, the audio delivery service at m.cdn.media, public show pages and embedded players, the public API at api.show.fm, any legacy podcasterplus.com addresses that redirect to them, and any other features, tools, integrations, or services we make available (together, the "Service").

By creating an account, subscribing to a plan, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

If you are using the Service on behalf of a company or other organisation, you confirm that you have the authority to bind that organisation to these Terms. In that case, "you" and "your" refer to that organisation.

Please also read our Privacy Policy and our Acceptable Use Policy, which form part of these Terms.

Quick summary

This summary is for convenience only. It is not a substitute for the full Terms below.

  • You retain ownership of your podcast content. You give us only the licence we need to host and deliver it.
  • You are responsible for your content, your team members' content, and what your guests contribute.
  • We host your audio, generate your RSS feed, run your booking pages, send automated emails on your behalf, and process your content through AI tools where you enable them.
  • You can download supported content and ask us for help exporting other account data or moving your feed.
  • We do not use your content to train AI models without your explicit consent.
  • Paid plans renew automatically. You can cancel any time and continue to use the Service until the end of your billing period.
  • Every paid plan comes with a 14-day money-back guarantee on your first payment. Ask within 14 days and we refund it in full. A Founder exchange does not restart the original purchase's guarantee window; see clause 9.
  • The Founders Plan is one payment for three years of the Studio plan, then a locked monthly rate. It is not a lifetime deal, and it is limited to one per Account. You may ask support to exchange it for Production House or Enterprise. Only your express acceptance and completion of the exchange permanently surrender the remaining original term and future $49/month rate. Keeping your Founder deal preserves its protections. See clause 30.
  • We are based in England. These Terms are governed by English law.

1 Definitions ¶

In these Terms, the following words have the following meanings.

"Account" means the account you create with show.fm to access the Service.

"Beta Services" means any features, services, or functionality identified as alpha, beta, preview, early access, experimental, or similar, whether or not part of a paid plan.

"Content" means any audio file, image, video, text, metadata, transcript, show notes, contact information, RSS feed, or other material that you, your team members, or your guests upload to, generate within, or transmit through the Service.

"Founders Plan" means the limited plan described in clause 30: a single up-front payment for an initial term of the Studio plan, followed by a monthly subscription at a locked rate, unless you expressly accept and complete the optional exchange described in clause 30.

"Guest" means a person who books or is invited to participate in a podcast, including someone who accesses an episode portal through email verification without creating a full Account.

"Subscription" means a paid plan you have signed up for, including any free trial period.

"Team Member" means any person you invite to your Account with a role such as Producer, Co-host, or other team role we make available.

"You" and "your" mean the person or organisation that has accepted these Terms, including any Team Members acting under your Account.

2 Eligibility ¶

You must be at least 16 years old to create an Account and use the Service. If you are between 16 and 18, you confirm that your parent or legal guardian has reviewed and accepted these Terms on your behalf.

By using the Service, you confirm that you are not:

  • a person prohibited from receiving services under the laws of the United Kingdom, the European Union, the United States, or any other jurisdiction that applies to you;
  • subject to sanctions that make our provision of the Service to you unlawful; or
  • previously suspended or removed from the Service by us, unless we have given you written permission to return.

The Service is provided to professional and serious amateur podcasters, podcast networks, agencies, and producers. Accounts and guest collaboration are not designed for children under 16. Public podcasts may nevertheless feature or be heard by children. Hosts must have the necessary permissions and safeguards for any child contributor. If you have a concern about a child’s data or safety, please contact us at privacy@show.fm.

3 The Service ¶

show.fm is a podcast operations platform (also known as PodOps). The Service includes, depending on your plan and the features you choose to enable:

3.1 Podcast hosting. Storage and delivery of audio files, podcast artwork, and related metadata; generation of RSS feeds compliant with relevant podcast standards; support for one or more shows per Account.

3.2 Guest booking engine. Public booking pages that allow guests to schedule recording sessions, integration with connected calendar providers, automatic creation of episodes from confirmed bookings, and intake forms.

3.3 Automation engine. A workflow builder that allows you to configure automated actions, including sending emails, updating records, and triggering webhooks, in response to time-based or event-based triggers.

3.4 Collaboration portal. Tools for hosts, Team Members, and Guests to work together on episode preparation, including shared show notes, prep questions, and real-time messaging.

3.5 AI content tools. Features that generate transcripts, draft episode or promotional material, and prepare guest research. You can request a job or enable automatic processing, such as transcription after upload or research after a booking, as explained in clause 14.

3.6 Distribution support. Tools to help submit your podcast to third-party directories such as Apple Podcasts, Spotify, and others. The directories themselves are not operated by us and have their own terms.

We may change features to develop, maintain or secure the Service, meet legal requirements, or respond to changes in third-party services. If a change materially reduces the core functionality you have paid for, we will give reasonable advance notice where possible and let you end the affected subscription with a pro-rata refund for the unused prepaid period. Clause 30 provides additional protection for the Founders Plan.

4 Account Registration ¶

To use most of the Service, you must create an Account. You agree to:

  • provide accurate, current, and complete information at registration and keep it updated;
  • keep your password and login credentials confidential;
  • give each Team Member their own login rather than sharing credentials;
  • notify us immediately at security@show.fm if you believe your Account has been compromised; and
  • be responsible for all activity that occurs under your Account, including the actions of your Team Members.

We may refuse, suspend, or terminate any Account that we reasonably believe contains false information, has been used to breach these Terms, or has been compromised.

5 Team Members, Guests and the Guest Network ¶

5.1 Team Members. You may invite Team Members using the roles and limits in your plan. Use individual logins and appropriate permissions. You are responsible for people you authorise to act for you, but not for losses caused by our failure to meet our own obligations.

5.2 Guest participation. Guests can book sessions, provide intake information and use episode collaboration tools through email verification. Before inviting someone or using their information, you must have a lawful basis and give them appropriate privacy information, including a link to our Privacy Policy. You are responsible for any contributor agreement or release needed to record, edit, publish and promote their contribution. Booking or accepting a platform invitation is not, by itself, an unrestricted recording or publicity release.

5.3 Contributions and access. Contributors keep their own rights. You must have authority to let us handle their Content for your podcast under clause 10. Information shared in an episode may be accessible to the Host and other authorised participants. Keep access links confidential and remove access when it is no longer needed.

5.4 Guest Network. The network helps people discover potential guests and send podcast invitations, including to people they have not met. A discoverable profile may be viewed publicly. Listing a profile indicates availability for relevant podcast approaches; it does not give blanket consent to marketing, bulk outreach or use of the person’s identity or work. Keep your profile accurate and respect each person’s preferences.

5.5 Respectful invitations. Send relevant, honest invitations that identify you and the podcast. Do not harvest contact details, sell network data, send unrelated promotions, impersonate someone, or repeatedly contact a person who has declined or asked you to stop. An invitation must meet clause 15 even if the recipient has a public profile. You can decline an invitation and report unwanted contact to support@show.fm.

5.6 Reputation and bookings. Profiles, ratings and participation indicators help people make their own decisions. They are not background checks, endorsements or guarantees of expertise, reliability or attendance. Give honest feedback based on your experience, without confidential details, abuse or retaliation. You can ask support to review inaccurate information or misuse. Hosts and Guests arrange the interview and any payment or cancellation conditions between themselves; we do not act as their booking agent.

6 Subscriptions, Pricing and Payment ¶

6.1 Free and paid plans. show.fm offers free, paid, and (where relevant) enterprise plans. Current pricing is published at our pricing page. Prices are shown in US dollars unless stated otherwise.

6.2 Payment. Subscription fees are charged in advance for each billing period (monthly or annual). All payments are processed by our third-party payment processor (currently Stripe). By providing your payment details, you authorise the payment processor to charge your payment method for the applicable fees and any applicable VAT or other taxes. The Founders Plan is paid once, up front, for the whole of its initial term (clause 30). For a Founder exchange, eligible invoice credit and any cash due settle the first replacement-plan invoice before the replacement service period starts (clauses 30.10 to 30.15).

6.3 Taxes. Prices are exclusive of VAT and other applicable taxes unless stated otherwise. You are responsible for any taxes other than those on our income.

6.4 Price changes. We may change our pricing from time to time. We will give you at least 30 days' notice of any increase that affects your existing subscription, either by email or in-product notification. If you do not accept the new price, you may cancel before it takes effect. This clause does not apply to a rate we have expressly locked for you, such as the Founders Plan monthly rate under clause 30.4, for as long as that lock applies. An optional Founder exchange takes the replacement price expressly accepted by the Account owner and only replaces the locked rate when the exchange completes under clause 30.10.

6.5 Failed payments. If a payment fails, we may retry the charge. If a charge remains unpaid for more than 14 days, we may suspend or downgrade your Account. This concerns ordinary subscription payments. An unpaid Founder exchange invoice follows its separate quoted payment deadline and recovery under clause 30.15; that failed attempt does not itself remove your original Founder access or locked rate.

7 Free Trials and Beta Services ¶

7.1 Trials. We may offer free trials of paid plans. Trial duration, eligibility, and conditions are stated at the point of sign-up. A trial converts to a paid subscription only where the price, billing frequency and automatic conversion were disclosed and you agreed to them at sign-up. A free account does not become paid merely because you keep using it.

7.2 Beta Services. Some features are offered as Beta Services. Beta Services are provided on an "as is" basis and may be modified, discontinued, or made generally available at any time, with or without notice. Beta Services may have additional terms, may produce unexpected results, and may not perform reliably. To the extent permitted by law, we exclude all liability for Beta Services beyond the cost of the relevant subscription, if any.

7.3 The Service generally. show.fm is currently being developed and approaching its first general beta. Some features described on the website are not yet generally available. Where this is the case, the relevant feature is marked as "coming soon", "in beta", or similar. We do not guarantee that a particular feature will be released, nor on what timeline.

8 Auto-Renewal and Cancellation ¶

8.1 Auto-renewal. Paid subscriptions automatically renew at the end of each billing period at the then-current price for your plan (or at your locked rate, where clause 30.4 applies), unless you cancel before the renewal date.

8.2 How to cancel. You can cancel your subscription at any time using the controls available in your Account, or by emailing billing@show.fm. Cancellation takes effect at the end of your current billing period. You retain access to your paid features until that date.

8.3 Effect of cancellation. On cancellation, your Account will revert to the free plan (where available) or be closed. Ending a paid plan does not itself erase your personal data. Export and deletion are explained in clause 18. After a completed Founder exchange, cancelling the replacement plan or returning to Studio does not restore the exchanged term or rate. Ordinary cancellation does not automatically refund invoice credit as cash; any remaining credit on the retained customer account follows clause 30.14. This does not limit a guarantee claim under clause 9 or any other refund or statutory right.

9 Refunds and Consumer Rights ¶

9.1 Our 14-day money-back guarantee. Every paid plan, including the Founders Plan, comes with a 14-day money-back guarantee. If you tell us within 14 days of your first payment for a plan that you want a refund, we will refund that payment in full. You do not need to give a reason. To claim, email billing@show.fm. We refund to the payment method you paid with, without undue delay and within 14 days of being told of your cancellation or refund request; your bank or card issuer may take longer to show it.

9.2 What the guarantee covers. The guarantee applies to the first payment you make for a plan on an Account: the first monthly or annual payment, or the one-off Founders Plan payment. It does not apply to renewals or to any later payment, to one-time add-on packs or extra seats, or to a further plan purchase made after a refund has already been given to the same Account or the same person or organisation. Where we refund a Founders Plan payment, the Founders seat is released and may be sold to someone else.

A Founder exchange does not start a new 14-day money-back guarantee, whether its invoice is paid entirely with credit, partly with credit and partly with new cash, or entirely with new cash. A later first cash payment for the replacement plan does not start a new window either. The original Founder purchase's guarantee keeps its original deadline; the exchange does not shorten any remaining part of that window. This does not limit statutory rights or other refunds or remedies owed to you.

If you claim within the original Founder purchase's 14-day guarantee window, we refund the money you actually paid for that purchase and any additional money paid for the exchange, in full, to the respective original payment methods, and close your Account. This applies regardless of your current plan or Account status, including after a completed exchange. We reconcile the exchange's invoice credit and any amounts already refunded so the same money is not returned twice. Invoice credit is not a second cash payment to refund. This guarantee outcome does not restore a Founder subscription; it ends the Account, with data handled under clause 18 and other statutory or accrued rights preserved.

9.3 Your statutory cancellation right. If you are a consumer in the UK or EU, you also have the right to cancel within 14 days of purchase under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and equivalent EU legislation. Any request to begin supply during that period must be expressly made where the law requires it. Simply accepting these Terms does not waive a statutory cancellation right. If you cancel under this right within the guarantee period, we will still refund your first payment in full under clause 9.1, so you are never worse off for having used the Service during those 14 days.

9.4 After the guarantee period. After the guarantee period, simply choosing to stop using the Service does not normally entitle you to a refund for the remaining agreed billing period. This does not affect a refund or other remedy due under law, for our breach of contract, or under clauses 3, 23, 28 or 30. We may also agree a refund in other circumstances.

9.5 Your statutory rights. Nothing in these Terms affects your statutory rights as a consumer, including under the Consumer Rights Act 2015.

10 Your Content ¶

10.1 You keep your rights. You and your licensors retain ownership and intellectual property rights in your Content. We do not acquire ownership of your recordings, artwork, writing, guest contributions or other material. Nothing here requires a general waiver of moral rights.

10.2 Permission to provide the Service. You grant show.fm Ltd a worldwide, non-exclusive, royalty-free licence to host, store, back up, reproduce, transmit, distribute, make available, publicly perform and display your Content, and to transcode, format or adapt it as needed to provide the Service you use. This covers delivery through feeds, podcast apps, directories, public show pages, embedded players and connected services; collaboration and communications; and AI processing you request or enable. We may use our infrastructure and service providers to carry out these activities and grant them the limited rights needed to do so, subject to the same purpose restrictions. We do not need a separate permission for each delivery or technical copy.

We use this licence according to your publication, sharing and feature settings. Giving us private booking answers or research material does not authorise us to publish it as a podcast. The licence also covers technical support, security and maintenance needed to operate your Service; it does not give us permission to use your Content for unrelated advertising, sell it as a separate product, or train AI models contrary to clause 14.

10.3 Rights you must hold. You must own or have the necessary rights, permissions and lawful basis for the uses you instruct, including worldwide podcast distribution where you publish publicly. This includes music, samples, photographs, guest voices and likenesses, and personal information. You are responsible for your Content’s compliance with intellectual property, privacy, defamation, advertising and other applicable law, and clause 13. We do not obtain music or contributor licences for you.

10.4 When permission ends. The licence ends when the Content is deleted from our systems, except for limited retention needed for backups, legal obligations, disputes or a migration you request. Retained copies may be used only for those purposes. Publication can create copies in listeners’ downloads, directories, search engines and other services outside our control. We cannot recall all such copies, and ending our licence does not affect their lawful continued use.

10.5 Review and commercial use. We do not routinely pre-screen every upload. We may review Content when needed for support, security, complaints or legal compliance. We do not sell your Content or authorise unrelated exploitation of it. Using a provider to host or deliver it under clause 10.2 is different from selling rights in it. We will obtain your separate permission before using your Content or identity in our own marketing.

11 Distribution to Podcast Directories ¶

11.1 Your relationship with directories. When you submit your podcast to Apple Podcasts, Spotify, Amazon Music, YouTube, or any other directory, that submission creates a direct relationship between you and the directory under their terms. We provide tools to help you submit and to make submission easier, but we are not a party to that relationship.

11.2 Hosting-agnostic distribution. You may use our automation and operations tools with an RSS feed hosted elsewhere ("External Hosting Mode"). In External Hosting Mode, your audio files and RSS feed remain with your existing host, and we provide the operations tools you enable. Where supported, you can also give us a recording for transcription or authorise us to send content to your connected host. The temporary recording copy is subject to clause 18. Your relationship with your existing host is governed by their terms.

11.3 Compliance with directory rules. You are responsible for ensuring that your podcast complies with the policies of the directories you submit it to.

12 RSS Feeds ¶

12.1 Your feed and migration. You control the Content published in your feed and may share its public URL. You may move to another host using our available migration controls or by asking support for help. Our service hostnames remain ours; using one does not transfer ownership of the domain.

12.2 Open podcast distribution. Publishing a public feed authorises normal access by directories, search engines, aggregators and podcast players, including indexing, caching, streaming, automatic episode downloads and offline listening. Those ordinary activities are not prohibited by these Terms. A public feed or media URL is not confidential or an access-controlled private podcast.

12.3 Abuse. Do not use the feed or delivery infrastructure for fraudulent downloads, denial-of-service attacks, unauthorised bulk extraction for unrelated purposes, or redistribution that infringes the creator’s rights. We may restrict abusive requests or remove access where reasonably needed to address a credible rights complaint, protect the Service or comply with law. Clause 23 explains notice and review.

13 Acceptable Use ¶

You agree that you and your Team Members will not, and will not allow Guests or any third party to:

Content restrictions:

  • upload or distribute Content that is unlawful, defamatory, obscene, pornographic, threatening, harassing, abusive, discriminatory, or otherwise harmful;
  • upload or distribute Content that promotes terrorism, violent extremism, child sexual abuse material, or trafficking;
  • upload or distribute Content that infringes any person's intellectual property, privacy, publicity, or other rights;
  • impersonate any person or organisation, or misrepresent your affiliation with any person or organisation;
  • use the Service to publish misinformation or disinformation that creates a credible risk of public harm.

Service restrictions:

  • attempt to gain unauthorised access to any part of the Service, any account other than your own, or any system or network connected to the Service;
  • conduct intrusive security testing without our written authorisation; contact security@show.fm to report a vulnerability or agree the scope of testing;
  • introduce viruses, worms, ransomware, or other malicious code;
  • interfere with or disrupt the Service or the servers or networks that host it;
  • use automated systems (bots, scrapers, crawlers, spiders) to access the Service except where permitted by our API or integration documentation, ordinary public-web indexing, or the podcast distribution uses in clause 12;
  • use the Service to send spam, including unsolicited commercial email through the automation engine;
  • reverse engineer, decompile, or disassemble any part of the Service, except where this restriction is prohibited by law.

Commercial restrictions:

  • resell or sublicense access to the platform without a written agreement. This does not prevent you from monetising your own podcast, providing production services to clients, or using branding controls included in your plan;
  • use the Service in a way that competes with the Service by building a competing product on top of it;
  • use our trademarks, logos, or branding except as permitted by clause 20.3.

We apply these rules proportionately, taking account of context, including legitimate journalism, education, criticism and artistic expression. Clause 23 explains suspension and review.

14 AI Content and Guest Research ¶

14.1 Inputs and outputs. AI features process the inputs relevant to the task, such as recordings, transcripts, prompts, show information and selected guest intake answers. Guest research can also read publicly accessible pages linked by a Guest and related pages on those sites to prepare a research brief, sources and suggested interview questions. These results are “AI Output”.

14.2 Your control. AI jobs may run when you request them or automatically when you enable a setting or workflow, including research after a booking and transcription after an upload. Review the settings before enabling them. Turning off a setting prevents new automatic jobs from being triggered; jobs already queued or running may continue. It does not erase existing inputs or outputs. Review, verify and edit AI Output before you publish it or act on it.

14.3 Rights in output. As between you and us, any rights we have in AI Output created for you belong to you. We do not promise that output is unique, copyright-protected or free of third-party rights. Quotations, source material and other people’s work keep their existing protections.

14.4 No model training. We do not use your Content to train AI models or authorise our AI providers to do so without your separate, explicit opt-in. Enabling an AI feature is permission to process its inputs to perform that task, not consent to model training. Our Privacy Policy explains AI processing and the provider we use.

14.5 People and sensitive information. A public source can still contain personal data. You must have a lawful basis for researching a Guest and tell them how their information will be used. Do not use research to make unsupported allegations, infer sensitive traits or conduct unrelated surveillance. Special category data needs an applicable additional legal condition; criminal-offence data has separate restrictions. Assess the risks and carry out a data protection impact assessment where required. AI briefs are preparation aids, not verified background checks or a substitute for speaking with the Guest.

15 Automated Communications ¶

15.1 Messages we send on your behalf. Booking, network and automation features send invitations, emails and notifications to recipients you choose. Webhooks can pass information to external services you configure. Check the recipients, content, timing and permissions before enabling a workflow.

15.2 Your responsibility for recipients. You are responsible for:

  • having a lawful basis under data protection law and separately meeting PECR or other applicable electronic-marketing rules. Public contact details, a network listing or our ability to send an invitation do not, by themselves, establish marketing consent;
  • obtaining any consents required for marketing communications;
  • maintaining accurate suppression and unsubscribe lists;
  • ensuring the content of each message complies with applicable law; and
  • promptly removing recipients who request to be removed.

15.3 Our role. We process Host-directed communications on the Host’s instructions. We also have our own responsibilities for platform security, network operation and abuse prevention, as explained in the Privacy Policy. Our processing arrangements are addressed in clause 19.

15.4 Volume limits and abuse prevention. We may apply sending limits, anti-abuse checks, and rate limiting to protect the deliverability of our shared sending infrastructure. We may suspend the automation engine for an Account that triggers spam complaints, bounce rates, or other deliverability problems above industry-standard thresholds.

16 Third-Party Integrations ¶

16.1 You choose what to connect. The Service connects with third-party services such as Google Calendar, social networks, payment processors, podcast directories, and others. You decide which integrations to enable.

16.2 Third-party terms apply. When you connect a third-party service, your use of that service is also governed by the third party's own terms and privacy policy. You should review what data and permissions you share. Disconnecting an integration stops future access but does not recall copies already sent. We remain responsible for our own obligations and for providers acting on our behalf.

16.3 Authorisation. By connecting a service or authorising an API or AI-assistant integration, you instruct us to perform the actions within its granted permissions. Depending on those permissions, this may read or change content, publish information or trigger communications. Secure credentials, review permissions and revoke access you no longer need. Do not give a tool authority you do not have yourself.

16.4 Google APIs. Where you use integrations that rely on Google APIs (such as Google Calendar), our use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

16.5 We may change or remove integrations. Integrations depend on the continued availability of the third-party service. We may modify, suspend, or discontinue an integration if the third party changes its terms or APIs, or for other operational reasons.

17 Usage Limits and Fair Use ¶

17.1 Plan allowances. Your plan and purchase information describe the applicable limits, such as episodes, storage, AI credits, team seats, booking links and automation usage. “Unlimited” means no stated numerical allowance for that item, subject to the reasonable-use rules below. Add-ons and any optional charges must be disclosed before you agree to them; we do not impose undisclosed retrospective overage fees. AI, email and other usage allowances are separate from the Founder invoice credit in clause 30.14. Their monthly resets do not reset or expire that invoice credit.

17.2 Fair use. Use hosting for genuine podcast delivery and the other features for their intended purpose. Do not use the Service as unrelated file storage, artificially inflate downloads, bypass quotas or impose avoidable loads that harm other customers. Normal audience growth alone is not abuse. If usage threatens service reliability, we will explain the issue and discuss a practical solution, normally allowing time to adjust. Urgent, proportionate restrictions may be necessary to protect the Service.

17.3 Files and limits. Use the supported file formats and sizes shown in the upload controls. We may normalise or transcode files for processing and delivery. Keep your own originals. On a downgrade, features or further use above the new plan’s allowances may be restricted; the account controls explain the affected limits.

18 Data Portability and Deletion ¶

18.1 Taking your work with you. Use the available download and export tools for supported content and reports. For other account data, contact support@show.fm for reasonable export assistance. Availability depends on your role and the data involved; we will protect other people’s information. This does not limit statutory data-access or portability rights.

18.2 Migration. We can help you move your podcast using standard RSS redirection. The deletion or migration controls specify the redirect period available. Arrange migration and download your files before deletion; third-party directories may take time to update and we do not promise indefinite redirection.

18.3 Cancellation and closure. Cancelling a paid subscription, deleting a podcast and deleting a person’s identity are different actions. A free account or membership of another podcast may continue after a paid plan ends. Contact support to close an Account and privacy@show.fm to exercise personal-data rights. If we end a paid Service without a breach by you, we will normally allow at least 30 days to export Content. This does not delay an earlier deletion you request or action legally required for safety or compliance. Founder exchange recovery does not undo a genuine cancellation or account deletion. Keeping invoice credit after subscription cancellation under clause 30.14 does not promise that a deleted Account can be restored or reclaim a balance. Deletion does not waive any refund or other remedy already owed to you.

18.4 Deletion and retained copies. A deletion you confirm follows the period shown in the relevant controls and may be irreversible. Some information may need to remain for another active account, legal obligations, security or disputes. Backup and third-party copies are handled as described in the Privacy Policy. Deleting a booking does not necessarily delete a separately created research brief, transcript or published episode; identify those separately in any deletion request.

18.5 Recordings for externally hosted shows. Where you provide a recording to support transcription or transfer to an external host, our temporary copy is normally scheduled for deletion 30 days after the episode is published. Hosting migrations and processing failures may require longer. The transcript is separate and may remain. Keep your original recording; the copy with your external host follows that host’s rules.

19 Privacy and Data Protection ¶

19.1 Privacy information. Our Privacy Policy explains the personal data we handle, the different roles we perform and how to exercise rights. Accepting these Terms is not blanket consent to personal-data processing.

19.2 Responsibilities. For account administration, our Guest Network and our own security and support purposes, show.fm Ltd acts as a controller. For podcast production, booking information and communications handled on a Host’s instructions, we generally act as a processor. An agency may itself act for its client. Each party must comply with the obligations that apply to its actual role; calling a party a processor does not remove its independent responsibilities.

19.3 Processing agreement. Processing on behalf of a customer requires a binding agreement with the applicable data-protection terms. Contact privacy@show.fm to arrange this before asking us to process personal data on your behalf. A draft document or an entry marked “in drafting” in our legal centre is not an executed Data Processing Agreement and is not incorporated into these Terms.

19.4 Providers and transfers. The Privacy Policy identifies the types of providers and international processing involved. You can ask our privacy contact for provider and transfer-safeguard information. Where we act as a processor, subprocessor authorisation and international transfers must be covered by the applicable processing agreement and law.

19.5 Security and incidents. We use appropriate technical and organisational measures to protect personal data. If we become aware of a personal data breach affecting data we process on your behalf, we will notify you without undue delay and provide information and assistance required by law. Notification of other incidents to affected individuals and regulators follows the applicable legal requirements.

20 Intellectual Property ¶

20.1 Our rights. The Service, including the website, the application, all source code, software, design, user interface, documentation, branding, trademarks, and other materials, is owned by show.fm or licensed to us. All rights not expressly granted in these Terms are reserved.

20.2 Limited licence to use the Service. Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable licence, terminable in accordance with these Terms, to access and use the Service for its intended purpose during your subscription.

20.3 Trademarks. Our rights in the show.fm name, logo and branding remain with us. You may not use them without our prior written permission, except for accurate and fair descriptive references (for example, "Hosted on show.fm").

20.4 Feedback. If you provide us with suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback without restriction. We will not be required to credit you or compensate you for it. This covers product suggestions, not ownership of your podcast Content or permission to disclose confidential information.

21 PodcasterPlus Blocks (Open-Source Plugin) ¶

PodcasterPlus Blocks is our open-source WordPress plugin, separately licensed under GPL-2.0-or-later. Your use of PodcasterPlus Blocks is governed by that licence and not by these Terms, except where the plugin connects to your show.fm Account, in which case these Terms apply to that connection.

22 Copyright and Other Content Complaints ¶

22.1 Reporting a concern. Send copyright concerns to copyright@show.fm and other unlawful-content or safety reports to legal@show.fm. Include the specific URL or location, what you believe is wrong, the rights or law involved, enough detail to assess it, and a way to contact you. For copyright reports, identify the work and confirm that you are the rights holder or authorised to act for them and that your report is accurate and made in good faith.

22.2 Our response. We assess reports and take appropriate, proportionate action under applicable law. This may involve requesting more information, restricting access or removing material. We do not require a court order before considering a credible report. We will explain a restriction to the affected account holder where lawful and appropriate, while protecting confidential information and reporters’ safety.

22.3 Review. If you believe a restriction is mistaken, reply with the relevant facts and supporting information and ask us to review it. We will consider the response and explain the outcome. Where a statutory notice or counter-notice process applies, we follow it. This process does not limit access to a court or regulator.

22.4 Repeated misuse. Repeated infringement, deliberate false complaints or serious misuse may lead to suspension or termination under clause 23.

23 Suspension and Termination ¶

23.1 By you. You may cancel your subscription at any time as set out in clause 8. You may request closure of your Account by emailing support@show.fm.

23.2 By us. We may suspend or terminate your Account, or any part of your use of the Service, where reasonably necessary if:

  • you materially breach these Terms, including the Acceptable Use Policy;
  • your payment is overdue beyond the period in clause 6.5, subject to the separate recovery rules for an unpaid Founder exchange in clause 30.15;
  • you are subject to legal proceedings or sanctions that prevent us from continuing to provide the Service;
  • we are required to do so by law or by a court order;
  • there is a credible threat to the security or integrity of the Service or other users; or
  • we permanently discontinue the Service or a material part of the paid service we provide to you. In that case we will give reasonable advance notice where possible and refund the unused prepaid period.

23.3 Notice, review and effect. Where a problem can be put right, we will normally explain it and give you a reasonable opportunity to do so. Immediate action may be needed for serious abuse, security risks or legal requirements. You may ask support@show.fm to review a restriction. On termination, your right to access the Service ends. The provisions of these Terms that by their nature should survive termination, including ownership, intellectual property, indemnification, liability limitations, and dispute resolution, will continue to apply.

23.4 Data after termination. Clause 18 sets out how we handle your Content after termination.

24 Disclaimer of Warranties ¶

24.1 As is. Except as expressly stated in these Terms and to the maximum extent permitted by law, we will provide the Service with reasonable care and skill. Availability can be affected by maintenance, faults and dependencies. We do not warrant that the Service will be uninterrupted, error-free, secure, free of viruses, or meet your specific requirements.

24.2 No reliance on third-party content. We are not responsible for the content of third-party podcasts, websites, integrations, or services linked from or connected to the Service.

24.3 AI outputs. As stated in clause 14, AI Output may be inaccurate or unsuitable, and we make no warranty as to its quality or correctness.

24.4 Service levels and statutory rights. No numerical uptime guarantee or service-credit scheme for service-level shortfalls applies unless expressly agreed in a separate service-level agreement. This does not exclude the Founder invoice credit in clause 30.14, which exchanges prepaid value and is not service-level compensation. Nothing in this clause limits any non-excludable statutory rights you have as a consumer, including under the Consumer Rights Act 2015.

25 Limitation of Liability ¶

25.1 Liability we cannot exclude. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability or remedy that cannot lawfully be excluded or limited. Nothing restricts an individual’s data-protection rights against either party.

25.2 Consumers. If you act wholly or mainly outside your trade, business, craft or profession, you are a consumer. We are responsible for reasonably foreseeable loss or damage caused by our breach of contract or failure to use reasonable care and skill. The business exclusions and caps below do not apply to you. Your mandatory consumer rights, including remedies for a service that does not conform to the contract, remain intact.

25.3 Business customers. Subject to clause 25.1, we are not liable to business customers for indirect or consequential loss, lost profits, revenue, business opportunities, goodwill or anticipated savings. Our total liability arising from an event or connected series of events is limited to the greater of £100 and the fees paid or payable for the Service for the 12 months immediately preceding the event giving rise to the claim. For prepaid terms, including Founders, fees are allocated across the period they cover; the cap for a claim during the Founders initial term will in any event be no less than the initial Founders payment. An exchange under clause 30.10 does not remove that floor for a claim during the original 36-month period, measured from the original start date, or reduce liability protections already accrued.

25.4 Refunds and agreed protections. This cap does not reduce a refund expressly due under these Terms. A separately agreed processing agreement or service-level agreement may provide additional protections, and any mandatory legal requirements prevail. A Founder exchange does not waive an accrued refund or remedy. In reconciling a remedy, we account for value already refunded or exchanged so the same value is not recovered twice, without reducing any separate loss or mandatory entitlement.

26 Indemnification ¶

26.1 Business customers. This clause applies only if you use the Service for business purposes. You will cover reasonable losses and legal costs awarded by a court or agreed in a settlement following a third-party claim caused by:

  • your Content, including any claim that your Content infringes a third party's rights or breaches applicable law;
  • your breach of these Terms, including the Acceptable Use Policy;
  • your use of the Service in a way that breaches applicable law; or
  • claims brought by your Team Members, Guests, or listeners that arise from your acts or omissions.

26.2 By us. Neither party’s indemnity covers loss caused by the other party’s breach, negligence or deliberate misconduct. Subject to the limitations in clause 25, we will indemnify you against claims by third parties that your authorised use of the Service infringes the third party's UK intellectual property rights. This indemnity does not apply where the claim arises from your Content, your breach of these Terms, or your combination of the Service with other products or services.

26.3 Procedure. The party seeking indemnification will give the other party prompt written notice of the claim, allow the other party to control the defence and settlement (provided that no settlement that imposes obligations on the other party may be agreed without that party's written consent), and provide reasonable cooperation.

27 Governing Law and Jurisdiction ¶

27.1 Governing law. These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales.

27.2 Jurisdiction. The courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, except that you may bring proceedings in another jurisdiction where required by mandatory consumer law in your country of residence.

27.3 Informal dispute resolution. Before bringing a formal claim, we ask that you contact us at legal@show.fm and give us a reasonable opportunity to resolve the matter informally. This is a request, not a condition of bringing a claim, seeking urgent relief or contacting a regulator, and it does not suspend any legal deadline.

28 Changes to These Terms ¶

28.1 We may change these Terms. We may update these Terms from time to time to reflect changes to the Service, to law, or to our business. The "Last updated" date at the top will reflect any change.

28.2 Notice of material changes. If a change is material and adverse to you, we will give you at least 30 days' notice by email or in-product notification before the change takes effect.

28.3 Your right to reject. If you do not accept a material change, you may cancel your subscription before the change takes effect. If the change materially disadvantages you during a prepaid term, you may end the affected subscription and receive a pro-rata refund for the unused period. We will not use a terms update to remove an agreed Founders price lock. Where express agreement is required by law, we will obtain it; a website update alone does not supply that agreement. The optional exchange in clause 30.10 requires the owner's express acceptance of an individual quote and a completed exchange. Publication, continued use or acceptance alone does not surrender an existing customer's Founder term or rate, or waive accrued rights.

29 General ¶

29.1 Entire agreement. These Terms, including the Acceptable Use provisions, and any purchase terms or separate agreements actually agreed with you set out our agreement about the Service. The Privacy Policy provides the associated privacy information. Draft documents are not part of the agreement. Nothing here excludes binding pre-contract information, fraud or mandatory rights. A Founder exchange quote must identify the permanent exchange and any applicable Enterprise agreement. It does not displace separately agreed protections unless a change is expressly agreed with you and is lawful.

29.2 Assignment. You may not transfer or assign your rights or obligations under these Terms without our written consent. We may transfer or assign our rights and obligations to a member of our corporate group or in connection with a sale or restructuring of our business, provided your contractual protections are preserved. We will notify you and, if the transfer would materially disadvantage you, allow you to end the affected subscription with a pro-rata refund of unused prepaid fees.

29.3 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.

29.4 No waiver. A failure or delay by us in enforcing any right under these Terms is not a waiver of that right.

29.5 Notices. Notices to you may be sent by email to the address on your Account or by in-product notification. Notices to us must be sent to legal@show.fm, with a copy to our registered office for formal legal notices.

29.6 Force majeure. Neither party is liable for any failure or delay caused by events outside its reasonable control, including internet outages, third-party service failures, acts of government, natural disasters, and industrial action, where the event could not reasonably have been prevented or its effects avoided. This does not remove our reasonable mitigation, data-protection or refund obligations. If it prevents substantial performance for more than 30 consecutive days, either party may end the affected subscription and we will refund the unused prepaid period.

29.7 Third-party rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.

29.8 Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us.

29.9 Publicity. Only with your freely given prior consent, we may identify you as a customer of the Service in our marketing materials and on our website. You may withdraw consent at any time by emailing marketing@show.fm.

30 The Founders Plan ¶

This clause contains the plan-specific terms for the Founders Plan. Where it conflicts with another clause, this clause applies to the Founders Plan, without limiting statutory rights or the consumer protections in clauses 9 and 25.

30.1 What it is. The Founders Plan is a limited offer of the Studio plan for an initial term of 36 months in return for a single up-front payment (currently $399, plus VAT where it applies), followed by a monthly Studio subscription at a locked rate (currently $49 a month). It is a Subscription under these Terms. It is not a lifetime licence, a pre-order, or any form of share or interest in our business. The initial term starts when your paid subscription begins, not at a later product launch. Your purchase confirmation and billing record establish the start date, end date, price and renewal rate. These remain protected if you keep your Founder deal. The optional exchange in clause 30.10 replaces the remaining original term and renewal rate only with your express acceptance and a completed exchange.

30.2 Seats and availability. The Founders Plan is limited to 100 seats. A seat is allocated when your payment completes, in the order in which payments complete. We may close or withdraw the offer at any time before your payment completes. We will not sell a Founders seat for less than the price you paid.

30.3 What you get. During the initial term your Account has the features and allowances of the Studio plan as published on our pricing page at the time of your purchase (for example, 30 managed episodes a month, 3 staff seats, 25 booking links and 50 automation rules), together with any improvements we make to the Studio plan generally. Monthly allowances, including AI credits, reset each month, do not roll over, and have no cash value. Clause 17 (storage, bandwidth and fair use) applies. These original-term benefits continue unless you expressly accept and complete the exchange in clause 30.10, subject to the existing cancellation and termination provisions. A request, quote, acceptance alone or failed attempt does not surrender them.

30.4 The locked rate. When the initial term ends, your Account continues on a monthly Studio subscription at the Founders rate (currently $49 a month, plus VAT where it applies). The price agreed when you buy applies; later changes to the advertised Founders offer do not change it. Clause 6.4 (price changes) does not apply to that base rate for as long as your subscription stays continuously active, except where you expressly accept and complete the permanent exchange in clause 30.10. Keeping the same Account or subscription after that completed exchange does not preserve the exchanged rate. Taxes and separately agreed add-ons may change. We will email you in good time before the first monthly charge with the amount, date and how to stop renewal. If you cancel and later return, the locked rate no longer applies and you pay the then-current list price. A payment failure remedied within the period in clause 6.5 does not by itself forfeit the lock, nor does an interruption caused by us.

30.5 New features and add-ons. A Founders seat buys the Service as it exists at the time of your purchase. Products, features, or services we release later may be included in some plans, offered only on other plans, or sold as separately priced add-ons, at our discretion. Whatever we include in the Studio plan generally is included in the Founders Plan on the same terms, subject to disclosed allowances and separately agreed optional charges. We will not use a rename, repackaging or compulsory add-on to circumvent your agreed base price or remove the core service you bought. Material reductions are addressed in clauses 3 and 30.9.

30.6 One per Account, not transferable. One Founders Plan may be held per Account and per person or organisation. It covers the podcasts on that Account. A Founders seat cannot be sold, transferred, gifted, pooled, or shared with another Account, and clause 29.2 applies. We may cancel a seat obtained in breach of this clause and refund the payment.

30.7 Cancelling. You may stop renewal at any time by emailing billing@show.fm; Founders changes are currently handled by support. We will confirm the request, and its effect will be based on when we receive it, not when we finish handling it. If you cancel during the initial term, your Account keeps the Founders Plan until the end of the 36 months and no monthly charges begin; we do not refund the unused part of the initial term except where a refund is due under clause 9, another provision of these Terms or applicable law. If you cancel after the initial term, cancellation takes effect at the end of the current monthly billing period. These Founder access rules apply while you retain the deal, including after an unsuccessful exchange. After a completed exchange, cancellation follows clause 8 and does not reinstate Founder rights. A guarantee claim is separate from ordinary cancellation. Account deletion follows clause 18; do not cancel your Founder subscription to request an exchange.

30.8 Refunds. The 14-day money-back guarantee in clause 9 applies to the Founders Plan payment in full. An exchange does not start a new guarantee window, including for any new cash paid towards the replacement plan or on a later bill. Any remaining guarantee on the original purchase keeps its original deadline, and statutory and accrued rights remain protected. A claim within that original window follows clause 9.2: we refund actual money paid for the Founder purchase and exchange, reconcile credit to avoid returning the same money twice, and close the Account regardless of its current plan or status.

30.9 If we end the Service or the plan. Clause 23 applies. If we end your Account for a material breach during the initial term, any amount we retain must be lawful and proportionate to our resulting loss; we do not automatically forfeit the whole prepayment. If we permanently discontinue the Service or the Founders Plan, or you end it following a material reduction under clause 3, we will refund the unused part of the initial payment pro-rata by days remaining. The same applies if we otherwise end the paid service without a breach by you. After the initial term, a discontinuation ends further charges and any unused prepaid monthly fees are refunded. Your voluntary, expressly accepted and completed exchange under clause 30.10 is not our withdrawal of prepaid service. It does not remove a refund or remedy already owed for our withdrawal or breach. Value already exchanged must be reconciled under clause 25.4 without waiving accrued rights. An unsuccessful attempt does not remove these protections.

30.10 Optional permanent exchange. The Account owner may ask billing@show.fm for a support-assisted exchange to monthly or annual Production House, or an agreed Enterprise plan. Support sends an individual quote by email and records the owner's express acceptance. Only that acceptance and completion of the exchange permanently surrender both the remaining original Founder term and the future $49/month rate. A request, quote, acceptance alone or failed attempt does not do so. Keeping the same Account or subscription does not preserve those exchanged rights. Cancelling the replacement plan or returning to Studio does not reinstate them. This does not limit clause 9, accrued remedies, statutory rights or the protections in clause 25.

30.11 Credit and individual quote. We calculate credit from the actual original product payment after discounts, excluding collected tax, in proportion to the unused original term at the quote's calculation time. We use the remaining duration in UTC and round once to the currency's smallest unit. Previous refunds, credits and adjustments must be reconciled first so value is not credited twice; unresolved payments or adjustments require review before an exchange. We do not use Studio list prices or assume everyone paid $399. A zero-paid purchase has no original prepaid value. After the original 36 months end, there is no remaining original prepaid value. Any eligible adjustment for an unused part of a paid $49 monthly period is calculated and disclosed separately. Giving up the future discount does not create an additional cash entitlement.

The quote identifies the destination plan, recurring price, currency and monthly or annual interval, applicable tax, credit calculation, any separate paid-period adjustment, existing invoice balance, credit applied, any cash due and expected remaining credit. It also states the first-period timing, acceptance and payment deadlines, support processing allowance and permanent surrender of the remaining original term and future $49/month rate. Enterprise quotes also identify the agreed plan allowances, invoice terms and separate agreement.

30.12 Acceptance, processing and payment wait. We hold the emailed quote for 72 elapsed hours for the owner's acceptance. Support actions the exchange within one working day from when confirmation reaches support, not when a staff member reads it. This processing allowance is separate from our support-response promise. The quoted credit stays fixed during the hold, processing allowance and separately agreed, bounded payment wait. Continued Founder access during that payment wait is intentional grace.

For this processing allowance, a working day means Monday to Friday in Europe/London time, including public holidays. Confirmation received on a weekday is actioned by the same local clock time on the next weekday. Confirmation received on Saturday or Sunday is actioned by 23:59:59 on Monday. For example, a Friday 15:00 confirmation is due by Monday 15:00, including when that Monday is a public holiday.

The full hold and processing allowance must fit before the separate payment deadline, and all must fit strictly before the original prepaid term ends or, after that term, the currently paid $49 monthly period ends. The payment deadline must be no later than the invoice due date. Late acceptance, a missed processing deadline or a material billing change requires a fresh quote and express acceptance. We do not silently extend a deadline or the original access period.

30.13 Settlement and completion. Settlement of the matching replacement-plan invoice starts the first replacement service period. The exchange completes when that settlement is verified and the replacement plan is applied to your Account and subscription. An invoice covered entirely by eligible credit can settle without a new cash charge. Any technical trial status used by our payment processor to schedule the next bill is not a new free trial. The exchange preserves your workspace, podcasts, team and unrelated entitlements. You do not cancel the Founder subscription first; the exchange is handled through support.

30.14 Remaining invoice credit. Credit is held on the same Stripe customer for eligible invoices in the same currency. It has no expiry or monthly release schedule and is not transferable or withdrawable as cash. It is separate from monthly AI, email and other usage allowances and from service-level compensation. It does not necessarily pay for every add-on or one-off checkout. After ordinary cancellation, unused credit remains available on the retained customer account for future eligible invoices; cancellation does not automatically refund it as cash. This does not limit separately applicable guarantee, refund or statutory rights. Account deletion is a separate action under clause 18.

30.15 Unsuccessful attempts and recovery. At the payment deadline, we check actual settlement. A settled invoice can complete the exchange even if its notification arrives late. If it is unpaid, we close the attempt by voiding or deleting its invoice and reconcile only that attempt's credit, preserving unrelated balances. If settlement and closure overlap, we reconcile the actual invoice outcome before deciding whether to complete or recover; a delayed notification alone does not establish non-payment. An unsuccessful attempt preserves or restores original Founder access through its existing end date and retains the original rate protections. It does not start a fresh 36 months or extend a paid $49 period. Uncertain payments or balances require reconciliation, not an assumed completion or blind refund. A genuine cancellation or account deletion remains authoritative and is not undone by recovery.
